VOCAL POCKETS PLUGIN SUPPLEMENTAL AGREEMENT

This Plugin Supplemental Agreement ("PSA") supplements and is incorporated into the Vocal Pockets Terms of Use ("Terms"), currently accessible at vocalpockets.com/pages/terms-of-use. Capitalized terms not defined in this PSA have the meanings given in the Terms.
A copy of this PSA may be included with the Software installer for your reference. The current and binding version of this PSA is published at [INSERT PSA URL] and may be updated by Vocal Pockets from time to time in accordance with Section 18(b) of the Terms. If the copy of this PSA included with your installer differs from the version then published at the foregoing URL, the version published at the URL will control. You are responsible for periodically reviewing the published version of this PSA.
By installing or using any Software, you agree to be bound by this PSA, as published at the foregoing URL at the time of your installation or use, in addition to the Terms.
In the event of a conflict between the Terms and this PSA with respect to Software-specific matters, this PSA will control as set forth in Section 4(e) of the Terms.
1. Scope and Product Schedules.
(a) Scope. This PSA governs your use of all Software products made available by Vocal Pockets. The general provisions of this PSA (Sections 1 through 11) apply to all Software. Any additional product-specific terms are set forth in the applicable Product Schedule attached to this PSA.
(b) Product Schedules. Each Software product is subject to a Product Schedule that specifies the product name, supported formats and platforms, device limits, content library terms, and other product-specific provisions. The current Product Schedules are:

In the event of a conflict between a Product Schedule and the general provisions of this PSA, the Product Schedule will control with respect to that Software product.
2. License Grant.
(a) Grant. Subject to your compliance with the Terms, this PSA, and the applicable Product Schedule, Vocal Pockets grants you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the applicable Software on up to the number of devices specified in the applicable Product Schedule, solely for personal and commercial music production purposes. This license is conditioned on your maintaining an active Subscription or other valid entitlement as described in Section 5 of the Terms. For clarity, commercial use of Generated Output in your musical works, compositions, and recordings is permitted.
(b) Licensed, Not Sold. All Software is licensed, not sold. Your license to use the Software is limited to the rights expressly granted in this PSA and the Terms.
(c) Format Scope. Your license covers all plugin formats included with the applicable Software product, as specified in the applicable Product Schedule. A user with a valid entitlement may use all included formats on their licensed devices.
3. Devices.
(a) Device Limit. You may install and use the Software on the number of devices specified in the applicable Product Schedule. Unless otherwise specified, the default device limit is two (2) devices that you own or control.
(b) Device Activation. Activating the Software on a device beyond the applicable device limit will require revoking an existing device lease, which may be accomplished through your account portal or by contacting team[at]vocalpockets.com.
(c) Device Identification. The Software transmits a hashed device identifier to Vocal Pockets's servers for the purpose of enforcing the device limit. You may not spoof, alter, or circumvent the device identification mechanism.
4. Connectivity and Verification.
(a) Internet Requirement. Certain features of the Software, including AI-assisted generation and content library synchronization, require an active internet connection. The Software periodically communicates with Vocal Pockets's servers to verify your entitlement, refresh your account status, and synchronize content.
(b) Offline Grace. If the Software is unable to communicate with Vocal Pockets's servers, you may continue to use available features during the offline grace period specified in the applicable Product Schedule. At the end of the offline grace period, certain features may be restricted until connectivity is restored. The offline grace period is a product feature and not a contractual guarantee; Vocal Pockets reserves the right to modify the duration of the offline grace period at any time.
(c) AI Processing. Where the Software includes AI-assisted features, the AI generation process requires transmitting data to Vocal Pockets's cloud infrastructure for processing. The specific data transmitted and the nature of the processing are described in the applicable Product Schedule and the Privacy Policy.
5. Content Libraries.
(a) License. The Software may include or provide access to curated content libraries (such as image packs, sound libraries, or other creative assets). Content libraries are licensed to you solely for display and use within the Software. You may not extract, copy, reproduce, distribute, publicly display, or use content library assets outside the Software or for any purpose other than their intended use within the Software.
(b) Ownership. All content library assets, including any associated metadata, remain the sole and exclusive property of Vocal Pockets and its licensors. Your license to content library assets does not survive termination of your Subscription except as expressly provided in Section 7 of this PSA.
(c) Content Delivery. Content library assets may be delivered to your device periodically as part of your Subscription. Assets downloaded to your device during your Subscription period remain accessible as described in Section 7, subject to the terms of the applicable Product Schedule.
6. Generated Output.
(a) Ownership of Compositions. You own the musical works you create using Generated Output. Vocal Pockets makes no claim of ownership over your compositions.
(b) No Warranty of Non-Infringement. Generated Output is produced algorithmically and Vocal Pockets cannot guarantee its uniqueness. VOCAL POCKETS MAKES NO REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, THAT ANY GENERATED OUTPUT IS FREE FROM CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT.
(c) User Responsibility. You are solely responsible for evaluating any Generated Output before incorporating it into any musical work intended for commercial release, distribution, synchronization, or any other public use.
(d) Indemnification. Without limiting the indemnification obligations in the Terms, you agree to defend, indemnify, and hold harmless Vocal Pockets and its officers, directors, employees, and agents from and against any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising from or relating to your use of Generated Output in any musical work, product, or service, including any claim that such use infringes any third party's intellectual property rights.
7. Post-Cancellation and Post-Expiration Access.
(a) Generally. Upon cancellation or expiration of your Subscription, your access to Subscription-dependent features (including AI-assisted generation, new content drops, and other cloud-dependent features) will cease. The specific features that remain available after cancellation or expiration may vary by Subscription plan and are described on the applicable product page or in the applicable Policies.
(b) Playback-Only Mode. Where the Software supports a playback-only mode, Vocal Pockets may, at its sole discretion, permit continued access to certain limited features of the Software after cancellation or expiration, including previously generated content, saved settings, downloaded content library assets, and local processing features. Any such continued access is provided at Vocal Pockets's discretion, may be revoked at any time without notice, and does not constitute a new license grant or extend any other rights under this PSA or the Terms.
(c) Resubscription. If you cancel your Subscription and later resubscribe, credits and other usage-based allotments from your prior Subscription do not carry over to the new Subscription. Your new Subscription begins with the standard allotments for the applicable tier.
8. Installation and Updates.
(a) Installer Terms. The Software installer may present a summary of key terms of this PSA for your reference. Any such summary is provided for convenience only. The complete and binding terms of your Software license are set forth in this PSA and the Terms, each as accessible at the applicable URL and as may be updated from time to time in accordance with Section 18(b) of the Terms.
(b) Updates. Vocal Pockets may from time to time release updates, patches, or new versions of the Software. Vocal Pockets is not obligated to provide any updates. If updates are made available, they may be subject to additional or modified terms, which will be presented to you at the time of installation.
(c) Code Signing. The Software is digitally signed to verify its authenticity and integrity. Operating system security prompts on first launch are expected behavior and do not indicate a problem with the Software.
9. Restrictions.
The restrictions set forth in Section 7 of the Terms apply to all Software. In addition to those restrictions:
(a) You may not distribute, post, upload, or otherwise make available the Software installer or any component thereof to any third party through any means, including without limitation file sharing services, cloud storage, messaging platforms, or public repositories.
(b) You may not use the Software on more devices than permitted by the applicable Product Schedule or attempt to circumvent the device lease system.
(c) The AI and Machine Learning Restrictions set forth in Section 7(b) of the Terms apply in full to all Software, all content library assets, and all Generated Output.
10. Termination.
(a) Effect on Software License. Upon termination of the Terms or this PSA, or upon cancellation or expiration of your Subscription, your rights under Section 2 of this PSA will immediately terminate, except as expressly provided in Section 7 of this PSA (Post-Cancellation and Post-Expiration Access).
(b) Uninstall. Upon termination of the Terms or this PSA for cause, you must promptly uninstall and destroy all copies of the Software in your possession or control. For the avoidance of doubt, locally stored user-generated content, saved settings, and licensed content packs written to your device during the Subscription period are not "copies of the Software" for purposes of this Section and are not required to be deleted upon termination.
(c) Survival. Sections 5(b), 6, 7(c), 8(a), 9, 10, and 11 of this PSA, together with the surviving provisions of the Terms, will survive termination or expiration.
11. General.
(a) Governing Terms. This PSA is governed by the Terms, including the dispute resolution, governing law, limitation of liability, disclaimer of warranties, and indemnification provisions therein. This PSA does not create any rights or obligations independent of the Terms.
(b) Amendments. Vocal Pockets may modify this PSA at any time in accordance with Section 18(b) of the Terms.

This Product Schedule supplements the Vocal Pockets Plugin Supplemental Agreement and sets forth the product-specific terms for the Software product described below.
A.1. Product.
Product Name: VIPA
Description: VIPA is a music production plugin that generates chord progressions and MIDI output using curated visual imagery ("Moodscapes") and AI-assisted generation, combined with a local chord engine and humanization controls.
Supported Formats: Audio Unit (AU), AU MIDI FX, VST3, and similar formats as made available by Vocal Pockets from time to time.
Supported Platforms: macOS and Windows, as specified on the product page.
A.2. Device Limit.
You may install and use VIPA on up to two (2) devices that you own or control, subject to Section 3 of the PSA.
A.3. Moodscape Content.
(a) Definition. "Moodscape Content" means the curated visual images, artwork, and associated metadata that Vocal Pockets makes available within VIPA for the purpose of AI-assisted chord generation and visual inspiration.
(b) License. Moodscape Content is licensed to you solely for display and use within VIPA. You may not extract, copy, reproduce, distribute, publicly display, or use Moodscape Content outside VIPA or for any purpose other than generating chord progressions and creating musical works within VIPA.
(c) Delivery. Vocal Pockets delivers new Moodscape Content periodically as part of your Subscription. Moodscape Content already downloaded to your device during your Subscription period remains accessible after cancellation or expiration, subject to Section 7 of the PSA.
(d) Encryption. Moodscape Content is stored on your device in an encrypted format. You may not decrypt, extract, or attempt to access Moodscape Content files outside of VIPA.
(e) Ownership. All Moodscape Content, including curated imagery, visual themes, and associated metadata, is and remains the sole property of Vocal Pockets and its licensors.
A.4. AI Generation.
(a) Credits. AI-assisted chord generation in VIPA consumes credits as described in the Credit Policy. Each generation request deducts credits from your balance. Your credit allotment is determined by your Subscription tier as described on the product page.
(b) AI Processing. When you use VIPA's AI generation feature, the selected Moodscape image identifier and associated metadata (such as scale and mood tags) are transmitted to Vocal Pockets's cloud infrastructure for processing.
(c) Local Engine. VIPA may include a local chord generation engine that operates independently of the cloud AI service. The local engine does not consume credits and does not require an internet connection.
A.5. Offline Grace Period.
If VIPA is unable to communicate with Vocal Pockets's servers, full functionality continues for a grace period of seven (7) days, after which certain cloud-dependent features may be restricted until connectivity is restored. The offline grace period is a product feature and not a contractual guarantee.
A.6. Post-Cancellation Access.
After cancellation or expiration of your Subscription, the following features remain accessible, subject to Section 7 of the PSA and Vocal Pockets's discretion:
(a) Retained: Moodscape Content already downloaded to your device; saved user settings and presets; the local chord generation engine (including pad-based voicings and humanization controls); and MIDI drag-and-drop export of previously generated content.
(b) Discontinued: New AI-assisted chord generation (all cloud-based generation calls); access to new Moodscape Content drops; and any features designated as cloud-dependent on the product page.
(c) Variation by Plan. Post-cancellation access may vary by Subscription plan. The specific features retained after cancellation for each plan are described on the product page or in the applicable Policies.
A.7. Content Guidelines.
Moodscape Content may include imagery that contains artistic, abstract, or stylized visual content. By using VIPA, you acknowledge that you have reviewed and accepted the age eligibility requirements in Section 2(b) of the Terms.
