VOCAL POCKETS CREDIT POLICY

This Credit Policy ("Policy") is a Policy under, and is incorporated into, the Vocal Pockets Terms of Use ("Terms") and the applicable Plugin Supplemental Agreement. Capitalized terms not defined in this Policy have the meanings given in the Terms.

This Policy describes how credits work for Software that uses a credit-based system for AI-assisted generation or other metered features. This Policy may be updated by Vocal Pockets from time to time in accordance with Section 18(b) of the Terms.

 


 

1. What Credits Are.

(a) Definition. "Credits" means the metered unit of consumption used by certain Software to enable AI-assisted generation and other features designated by Vocal Pockets as credit-consuming.

(b) No Monetary Value. Credits have no cash value, are not currency, and are not redeemable for cash or any cash equivalent.

(c) Non-Transferable. Credits are tied to your account and may not be sold, transferred, gifted, or otherwise assigned to any other person or account.

(d) Not a Deposit. Credits do not constitute a deposit, a stored balance of funds, or any form of prepayment giving rise to a debt owed to you. Credits are a feature of your Subscription, not a financial instrument.

 


 

2. How Credits Are Granted.

(a) Subscription Allotment. If your Subscription tier includes a credit allotment, credits are granted upon activation of your Subscription and refreshed at the start of each subsequent applicable billing period. The specific allotment for each Subscription tier is described on the applicable product page.

(b) Discretionary Grants. Vocal Pockets may, at its sole discretion, grant additional credits to you, including as part of a promotional offer, beta program, customer support resolution, or other discretionary basis. Discretionary credit grants are subject to this Policy unless otherwise stated at the time of the grant.

(c) Tier Changes. If you upgrade or downgrade your Subscription tier, your credit allotment will be adjusted to reflect the new tier's allotment as described on the applicable product page. Vocal Pockets reserves the right to determine how mid-cycle tier changes affect your then-current credit balance.

 


 

3. How Credits Are Consumed.

(a) Deduction. Each use of a credit-consuming feature deducts the applicable number of credits from your balance. The credit cost of a given action is displayed to you within the Software before you initiate the action.

(b) Insufficient Balance. If you do not have a sufficient credit balance to complete a credit-consuming action, the Software may notify you.

(c) Failed Generations. If a credit-consuming action fails to complete due to a technical error on Vocal Pockets's part, Vocal Pockets will use good faith efforts to ensure credits are not deducted for the failed attempt. 4. Rollover and Expiration.

(a) Monthly Rollover. Unused credits carry forward from one billing period to the next, subject to the annual cap described in Section 4(b).

(b) Twelve-Month Cap. Accumulated, unused credits are reset to zero after twelve (12) consecutive months of active Subscription, measured from your Subscription start date or, if applicable, the date your Subscription most recently recommenced following a lapse or cancellation. Credits granted in the billing period in which the twelve-month threshold is reached are not affected by this reset. A lapse or cancellation in your Subscription restarts the twelve-month measurement period, as further described in Section 4(c).

(c) Cancellation and Resubscription. If you cancel your Subscription, any remaining credit balance is forfeited as of the effective date of cancellation. If you later resubscribe, your credit balance and rollover anniversary date will reset; credits from a prior Subscription period do not carry forward.

(d) No Extension. Vocal Pockets is not obligated to extend, restore, or otherwise modify the expiration of credits except as expressly stated in this Policy or at Vocal Pockets's sole discretion.

 


 

5. Credits Are Non-Refundable.

Except as expressly provided in the Refund Policy, credits are non-refundable, including unused credits remaining at the time of cancellation, downgrade, or termination of your account.

 


 

6. Beta and Trial Credits.

(a) Beta Programs. Credits granted in connection with a beta program are subject to the terms of the applicable beta participant agreement and may differ from the terms in this Policy, including with respect to allotment, expiration, and rollover.

(b) Trial Periods. Credits granted in connection with an introductory trial period are subject to the terms disclosed at the time of enrollment.

 


 

7. Restrictions on Credit Use.

You may not manipulate, exploit, resell, or attempt to circumvent the credit system, as further described in the Acceptable Use Policy. Violations may result in forfeiture of credits and suspension or termination of your account, as described in the Acceptable Use Policy and the Terms.

 


 

8. Changes to This Policy.

Vocal Pockets may modify the credit allotments, rollover terms, expiration terms, or any other aspect of this Policy at any time in accordance with Section 18(b) of the Terms.
